1. Acceptance of Terms

Welcome to Gallerly ("Gallerly," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Gallerly mobile application and any related services (collectively, the "App"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

You must be at least 13 years old (or the minimum age of digital consent in your country) to use Gallerly. If you are under 18, you confirm you have your parent or guardian's permission to use the App.

2. Description of the Service

Gallerly is a companion app that lets users "collect" paintings by visiting museums and galleries, taking photographs of artworks, and logging them within the App. Gallerly may also provide museum guides, suggested routes, wayfinding information, and educational content about featured artworks and institutions.

Gallerly is an independent app and is not affiliated with, endorsed by, or operated by any museum, gallery, or cultural institution unless explicitly stated otherwise.

3. User Accounts

  • You must create an account to access certain features. You agree to provide accurate, current, and complete information.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

  • Notify us immediately of any unauthorized use of your account.

4. User Conduct

When using Gallerly, you agree that you will:

  • Comply with all rules, restrictions, and photography policies set by any museum, gallery, or venue you visit (including "no flash," "no tripod," "no photography" zones, ticketed/timed entry rules, and staff instructions).

  • Not use the App in a way that disrupts other visitors, damages artworks, or violates any venue's code of conduct.

  • Not upload content that is unlawful, infringing, obscene, defamatory, or otherwise objectionable.

  • Not attempt to reverse-engineer, hack, scrape, or misuse the App or its data.

You are solely responsible for complying with the photography and conduct policies of any museum or venue you visit. Gallerly does not guarantee that photography is permitted at any location, and it is your responsibility to confirm and follow venue-specific rules.

5. Museum Guides, Routes, and Wayfinding

Gallerly may provide suggested routes, room directions, or guided tours to help you locate artworks ("Guides"). These Guides are provided for general informational and entertainment purposes only.

  • Museum layouts, room numbers, exhibit locations, and artwork placements change frequently and without notice.

  • We do not guarantee the accuracy, completeness, or current validity of any Guide, route, or directional information.

  • We are not responsible for any inconvenience, delay, disorientation, missed exhibits, or other issues that result from following a Guide provided within the App.

  • You are responsible for following posted museum signage and staff instructions over any in-App guidance if the two conflict.

6. User-Generated Content (Photos & Collections)

"User Content" means any photo, note, tag, or other content you upload or create within the App.

  • You retain ownership of the photos you take and upload.

  • By uploading User Content, you grant Gallerly a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, and use that content to operate, improve, and promote the App (for example, showing your collection back to you, or featuring anonymized/aggregate stats).

  • You are solely responsible for the content you upload and for ensuring you had the right to take and share each photo, including compliance with any museum's photography or copyright policies regarding photographing artworks (some artworks may be under copyright, loan restrictions, or "no photography" rules).

  • Mistaken or Incorrect Identification: Gallerly's artwork-matching, tagging, and identification features (whether automated or manual) are provided on a best-effort basis. We do not guarantee that a painting is correctly identified, matched, or attributed. We are not responsible for any photo that is mistakenly logged as the wrong artwork, mismatched, duplicated, lost, corrupted, or otherwise inaccurately recorded within your collection.

  • We may remove any User Content that violates these Terms or applicable law.

7. Intellectual Property

  • The App, including its design, logos, software, and original content (excluding User Content), is owned by Gallerly and protected by intellectual property laws.

  • Artwork images, names, and museum information referenced in the App may be subject to third-party copyright or trademark rights. Gallerly claims no ownership over the underlying artworks or museum collections themselves.

  • You may not copy, modify, distribute, or create derivative works from the App without our written permission.

8. Location Services

The App may request access to your device's location to provide features such as museum check-ins, nearby exhibit suggestions, or Guides. You can disable location access at any time through your device settings, though this may limit certain features.

9. Third-Party Museums, Venues, and Links

Gallerly may reference, link to, or provide information about third-party museums, galleries, ticketing sites, or services. We do not control these third parties and are not responsible for:

  • Museum admission policies, hours, pricing, or availability

  • Any injury, loss, or damage occurring on museum or venue premises

  • The accuracy of third-party content, exhibits, or listings

  • Any dispute between you and a museum or venue, including regarding photography restrictions

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Without limiting the foregoing, Gallerly does not warrant that:

  • Artwork identification, tagging, or matching will be accurate or error-free

  • Guides, routes, or wayfinding information will be current, complete, or accurate

  • The App will be uninterrupted, secure, or free of bugs

  • Any photo you take will be properly saved, synced, or retained

11. Limitation of Liability

To the fullest extent permitted by law, Gallerly and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, photos, collections, profits, or goodwill, arising from or related to your use of the App, including but not limited to:

  • Photos of the wrong, mismatched, or misidentified paintings

  • Lost, corrupted, deleted, or unsynced photos or collection data

  • Reliance on in-App Guides, routes, or room directions

  • Any interaction with, or restriction imposed by, a museum or venue

  • Any personal injury or property damage occurring while using the App during a museum visit

In all cases, our total liability to you for any claim arising from your use of the App shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Gallerly and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your User Content, or your violation of these Terms or any museum/venue policy.

13. Subscriptions & Purchases (if applicable)

If Gallerly offers premium features, subscriptions, or in-app purchases:

  • Prices, billing terms, and cancellation policies will be presented at the point of purchase.

  • Purchases are processed through the applicable app store (Apple App Store / Google Play) and are subject to their respective terms and refund policies.

14. Privacy

Your use of the App is also governed by our [Privacy Policy], which explains how we collect, use, and protect your personal data, including photos and location information. Please review it separately.

15. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms. You may stop using the App and delete your account at any time.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other reasonable means. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by the laws of New York without regard to its conflict of law principles. Any disputes shall be resolved in the courts of New York.
